PTA Bylaws

Bylaws describe the purpose of Skyline Elementary PTA, and member's rights, in addition to officers and their respective duties.  


Article I: General Information


Section 1: The name of this unit shall be Skyline Elementary PTA 10.9.215. It was chartered January 1963.


Section 2: This PTA serves the children in the Skyline Elementary School enrollment area.


Section 3: This PTA was incorporated on March 26, 1979 and assigned corporation #2-287614-8. It was assigned UBI # 601 862 459. The Treasurer is responsible for filing the Annual Corporation Report. The registered agent for this corporation is the Washington State PTA.


Section 4: This PTA is registered under the Charitable Solicitations Act, registration #4390.  The Treasurer is responsible for filing the annual registration before May 31 to avoid penalties.


Section 5: This PTA was granted tax-exempt status under section 501(c)(3) on August 23, 2000.


Section 6: The current Treasurer is responsible for filing the appropriate IRS Form 990 prior to November 15 and providing a copy to the Board.


Section 7: This PTA has designated the Washington State PTA as its registered agent with the Washington Secretary of State’s Office, the Washington Department of Revenue, and the United States Internal Revenue Service.


Article II: Board of Directors


Section 1: The elected officers of this PTA shall be: President, Vice-President, Secretary, and Treasurer, which makes up the Executive Committee. Any of these positions maybe shared. The position of Treasurer may NOT be shared by family members. If the position is shared, both members have a voting right.


Section 2: Our PTA will comply with the training requirements necessary to remain in good standing, as specified in the most current WSPTA Uniform Bylaws.


Section 3: The Board of Directors of this PTA shall consist of the elected officers, as well as appointed positions that may include one or more of the following: fund raising chair, membership chair, legislative chair, volunteer coordinator, newsletter editor, and website coordinator. The appointed positions of the Board of Directors may vary from year to year.


Section 4: All online passwords will be kept and updated in the Google Drive. Outgoing president will provide email access to the incoming president who will change all passwords and provide access to the rest of the board members. If the president is not leaving they will update passwords and make sure all current members have access. Passwords must be changed during the year with ANY election of new officers. All officials of the Skyline PTA board will have their own personal admin login for Member Planet, member planet accounts will be deleted or changed as needed by the current board member needs.


Article III: Membership Fees


Section 1: The membership service fees for this PTA shall be $20 per person, $35 per couple. The students of Skyline Elementary School shall be considered honorary members of this PTA without voice, vote, or the privilege of holding office.


Article IIII: Meetings


Section 1: This PTA’s Board will meet monthly at a date and time determined by the Board. A quorum shall be 50%+1.


Section 2: All interested persons are welcome to attend Board Meetings. The privileges of making motions and voting shall be limited to the Board members.


Section 3: This PTA will have three General Membership meetings. Suggested schedule is October, January and April.  A quorum shall be 10.


Section 4: General Membership meetings are open to all interested persons, but the privilege of making motions and voting shall be limited to members only.


Article V: Voting


Section 1: Voting delegates to the annual WSPTA convention shall be determined in the following order: Incoming President, Ongoing President, Incoming Vice President, Incoming Secretary, Incoming Treasurer, Ongoing Vice President, Ongoing Secretary, Ongoing Treasurer. The Board of Directors shall determine the number of delegates to be funded by this PTA.


Section 2: Voting delegates to the WSPTA Legislative Assembly shall be determined in the following order: Legislative Chair, President, Vice President, Secretary and Treasurer. The Board of Directors shall determine the number of delegates to be funded by this PTA.


Section 3: The use of email, mail, or online voting is allowed per Washington State PTA Bylaws for election of Nominating Committee or Board officers. Only private (not government or school) email addresses may be used. Members may opt out of electronic/mail balloting on the membership form. WSPTA Voting Procedures Guide should be followed when conducting an electronic/mail voting session.


Article VI: Financial Matters


Section 1: This PTA shall approve its annual operating budget in the spring of each year. The Board of Directors may reallocate funds budgeted for one purpose to another purpose by a majority vote.


Section 2: The Board of Directors shall have the authority to approve expenditures or reimbursements up to $200 without Membership approval.


Section 3: This PTA shall keep a Legal Documents notebook, which contains copies of all legal documents. The Secretary and/or Treasurer shall be responsible for this notebook.


Section 4: This PTA will complete a financial review of all books and records at the close of the fiscal year as required by Washington State PTA. Once the review has been completed it will be filled in the treasurer's binder for that fiscal year. The signatures of all elected officers may be on the signature card for this PTA’s authorized bank account. The signature of at least two elected officers is required on all checks issued by this PTA.


Section 5: The bank account of this PTA shall have online read-only access to banking and no ATM cards should be utilized.


Section 6: The monthly bank statement shall be mailed to the school and routed to an elected officer who is not on the bank signature card AND the President. The President and a non-signing officer will sign the statement and it will be forwarded immediately to the Treasurer to be reconciled. After the financial report and monthly reconciliation have been completed, both the President and the elected officer not on the signature card will sign and date the statement. Printed PDF copies of bank statements will be acceptable for record keeping purposes. Printed copies to be verified with bank statements, as they become available.


Section 7: The Treasurer shall not be employed at the financial institution where the PTA bank account is held.


Section 8 : Both the Treasurer and President of the current PTA will have full access and individual personal logins for Money Minder. If other members of the board would like access to money minder they can have a “read only” login, any changes (once approved) to the current or future budgets can only be handled by the treasurer or president. If there is a new incoming board member requiring access the treasurer will make sure access is granted and the new officials will remove the accounts for any outgoing officials. 


Article VII: Reimbursement


Section 1: Before the purchase/use of any supplies needed by a board member for their specific role it must be cleared by the other board members. The PTA will not reimburse any supplies that were not previously discussed amongst the board (does not need an official vote, quick conversation/text would be sufficient).


Section 2:  All reimbursement requests shall include a receipt and shall be submitted to the Treasurer within 60 days of purchase. Unless end of year- receipts will need to be expedited to insure monies have been withdrawn during the current fiscal year, for budget accuracy and end of year financial review. 


Article VIII: Volunteer


Section 1: All persons wanting to volunteer for the skyline PTA in any capacity during any and all events must have completed the “parent/legal guardian volunteer form” prior to volunteering. The form is available in the main office of Skyline Elementary and is required by the school district for all volunteers.


Article VIIII: Partnership


Section 1: Chartering outside organizations- Skyline PTA may collaborate with non-PTA organizations. The PTA will handle only PTA funds and will have in place a signed contract with the other organization to clearly establish whether it is a PTA activity or the other organization’s activity. This PTA will not be a fiscal agent, fiscal sponsor, or sign a sponsorship or charter agreement with any outside organization or agency.


Article X: Termination


Section 1: Termination of Membership-  An individual’s membership in [insert name of PTA] may be terminated by a two-thirds (2/3) vote of its board of directors for conduct that may damage the value and goodwill associated with PTA, or that violates the purposes, policies, or standing rules of this [insert name of PTA] including the bylaws of WSPTA and National PTA. Details on the process for termination of membership are included in current WSPTA policy.


[Insert name of PTA] shall notify the WSPTA board of directors within 5 business days if a membership has been terminated.


Article XI: Miscellaneous


Section 1:  One Golden Acorn Award and One Outstanding Educator Award may be presented annually. A committee of the Board shall select the recipients.
